- negotiating and/or litigating "buy-out" arrangements among owners of closely held businesses;
- facilitating alternative transactions, such as franchising, joint ventures, strategic partnering and licensing arrangements;
- drafting, reviewing and litigating employment, non-competition and confidentiality agreements, as well as other incentive compensation arrangements;
- handling all Uniform Commercial Code matters, including secured transactions, standard purchase order terms, product warranty issues and negotiating and drafting agreements for the purchase or sale of goods or
services;
- handling all aspects of contract negotiations, including leasing, financing, employment, service provider and insurance matters; and
- the prosecution and/or defense of a wide array of business related litigation, including that concerning intellectual property such as trademarks, service marks, copyrights and trade secrets.
